The Form D states a $200 million total offering, yet it simultaneously reports $0 sold, zero investors and "First Sale Yet to Occur." That distinction is important: the public filing demonstrates that the legal vehicle and proposed offering exist, but it does not show that Fund III has already raised capital or reached a first close. The filing names Narya Capital GP III, LLC as general partner, Narya Capital Management, LLC as management company and Colin Greenspon as managing director of the GP. We found no evidence in the records reviewed that supports characterizing Narya Capital Fund III itself as a scam, but the current filing is still a pre-sale fundraising notice rather than proof of a completed $200 million fundraise.

However, Form D is only an exempt-offering notice and should never be treated as SEC approval, an audit, a guarantee of returns or proof that every person claiming to represent the fund is legitimate.

For that reason, the more important due-diligence question is what organization sits behind the newly created Oceanus name and whether the extensive Walden/Pacven trail visible around the same address represents the fund's actual management structure.
